Terms of Service

Effective date: September 23, 2026

These Terms of Service (“Terms”) govern your access to and use of Crediball’s SDKs, APIs, dashboard, and MCP server (together, the “Service”), provided by Filippo Rezzadore, trading as Crediball (Wolfganggasse 30/8, 1120 Vienna, Austria) (“Crediball,” “we,” “us”). By creating an account, installing @crediball/sdk, or otherwise using the Service, you (“you,” the “Developer”) agree to these Terms on behalf of yourself or the organization you represent.

  1. 1. The Service

Crediball is usage-based credit billing infrastructure for AI applications. It lets you wrap actions in your own app with crediball.action() / crediball.track(), price and activate those actions from a dashboard, sell top-up credit packages and subscriptions to your end users, and receive payouts to your own connected Stripe account. Crediball does not process payments on its own behalf — your end users pay you, through your own Stripe account.

  2. 2. Accounts

You must provide accurate information to create a Crediball account and are responsible for all activity under your API keys. Keep your secret key (cb_live_…) server-side and confidential — treat a leaked secret key as a security incident and rotate it immediately.

You must be legally able to enter into a binding contract, and your use of the Service must comply with our Acceptable Use Policy.

  3. 3. Sandbox and live mode

Every app starts in sandbox mode: actions are recorded but nothing is billed to your end users, and using sandbox mode never costs you anything. Switching an app to live mode requires an active, connected Stripe payout account and is your decision alone — Crediball never flips an app to live on your behalf.

  4. 4. Fees and payment

Crediball does not charge a monthly subscription fee, and there is no charge while an app has no real revenue. Once an app is live, we invoice 5% of the revenue you actually collect from your end users through Crediball (top-ups and subscriptions), calculated on a monthly cycle.

Payouts from your end users go directly to your own connected Stripe account — Crediball is never in possession of your customers’ funds. Our revenue-share invoice is billed to you separately through Stripe, using the payment method you provide when connecting your account.

We may change our fees with at least 30 days’ notice by email or in-app notice; continued use of the Service in live mode after a fee change takes effect constitutes acceptance of the new fee.

  5. 5. Your responsibilities

    • You are the merchant of record for your own end users; your users are your users — Crediball does not contact, market to, or claim ownership of them.
    • You are responsible for the accuracy of the actions, prices, and credit balances your integration reports, and for honoring the credits your app has sold.
    • You are responsible for your own compliance obligations toward your end users (consumer protection, tax, refunds) in the jurisdictions you operate in.
    • You will not use the Service to misrepresent revenue in a way intended to reduce fees owed under these Terms.
  6. 6. Data and privacy

Our Privacy Policy describes what we collect and why. Where you process personal data of your end users through the Service, our Data Processing Agreement applies and is incorporated into these Terms.

  7. 7. Intellectual property

Crediball retains all rights in the Service, including the SDKs, dashboard, and MCP server. You retain all rights in your own application, content, and data. You grant us a limited license to process the data you send through the Service solely to provide it to you.

  8. 8. Third-party services

The Service relies on infrastructure and payment providers listed on our Subprocessors page. Your use of Stripe is additionally governed by Stripe’s own terms, since your Stripe account and payouts belong to you, not to Crediball.

  9. 9. Suspension and termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access for a material breach of these Terms, the Acceptable Use Policy, or where required by law, and will give notice where reasonably possible. On termination, your obligation to pay fees already invoiced survives.

  10. 10. Disclaimers and limitation of liability

The Service is provided “as is” without warranties of any kind. To the maximum extent permitted by law, Crediball is not liable for indirect, incidental, or consequential damages, and our total liability arising from these Terms is limited to the fees you paid us in the three months preceding the claim. Nothing in these Terms limits liability that cannot be limited under applicable Austrian or EU law.

  11. 11. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms here with a new effective date, and for material changes we will make a reasonable effort to notify you directly.

  12. 12. Governing law

These Terms are governed by the laws of Austria, without regard to its conflict-of-laws principles, and any dispute not resolved informally will be submitted to the competent courts of Vienna, Austria, without prejudice to any mandatory consumer- protection venue rules that may apply to you.
